Please read these Terms and Conditions carefully before using the QuickKey platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Hotel," "Subscriber," or "Customer") and QuickKey, Inc. ("QuickKey," "we," "us," or "our"), governing your access to and use of the QuickKey hotel operations platform, including all associated software, services, AI agents, APIs, and related features (collectively, the "Services").

By creating an account, accessing the platform, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a hotel, hotel group, or other organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Description of Services

QuickKey provides a cloud-based hotel operations platform that enables hotels and hospitality businesses to manage guest service requests through multiple communication channels, including SMS text messaging, WhatsApp, and AI-powered voice telephone agents. The platform includes:

  • A web-based operations dashboard for hotel staff and management
  • Automated ticket creation, routing, and tracking for guest requests
  • AI-powered voice agent capable of receiving and processing guest phone calls
  • SMS and WhatsApp messaging integration for guest communication
  • Real-time notifications and staff assignment tools
  • Analytics, reporting, and performance monitoring features
  • Integration capabilities with Property Management Systems (PMS)
  • Multilingual communication support

QuickKey reserves the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice. We will endeavor to provide advance notice of material changes through the platform or via email.

3. Eligibility and Account Registration

To use the Services, you must: (a) be at least 18 years of age; (b) have the legal authority to enter into binding contracts; (c) represent a legitimate hotel, hospitality business, or authorized operator; and (d) provide accurate, complete, and current registration information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify QuickKey immediately of any unauthorized use of your account. QuickKey is not liable for any loss or damage arising from your failure to maintain account security.

QuickKey reserves the right to refuse service, terminate accounts, or remove content at our sole discretion, including if we believe you have violated these Terms or applicable laws.

4. Subscription Plans and Billing

QuickKey offers subscription-based access to the Services. By selecting a subscription plan, you agree to pay the applicable fees as described on our pricing page. All fees are in U.S. Dollars unless otherwise stated.

Billing Cycles: Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Annual subscriptions are billed upfront for the full year.

Free Trial: QuickKey may offer a free trial period. Upon expiration of the trial, your account will automatically convert to the selected paid plan unless you cancel before the trial ends.

Refunds: Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. If you cancel your subscription, you will retain access to the Services until the end of your current billing period.

Price Changes: QuickKey reserves the right to change subscription fees with at least 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new fees.

Taxes: You are responsible for all applicable taxes associated with your subscription, except for taxes based on QuickKey's income.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:

  • Violate any applicable local, state, national, or international law or regulation
  • Send unsolicited, spam, or bulk communications to guests without proper consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Transmit any material that is defamatory, obscene, fraudulent, or harmful
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated tools to scrape, crawl, or extract data from the platform without authorization
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Resell, sublicense, or otherwise transfer access to the Services without written consent
  • Use the Services in any manner that could damage QuickKey's reputation or business

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Guest Communication and Data

As a hotel using QuickKey, you are responsible for ensuring that all guest communications comply with applicable telecommunications laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the General Data Protection Regulation (GDPR), and any other applicable privacy and communications regulations in your jurisdiction.

Guest Consent: You represent and warrant that you have obtained all necessary consents from guests before initiating or enabling SMS, WhatsApp, or phone communications through the QuickKey platform. You are solely responsible for obtaining and maintaining proper consent records.

Guest Data Ownership: Guest data collected through the platform remains the property of the hotel. QuickKey processes this data as a data processor on your behalf, in accordance with our Privacy Policy and applicable data protection laws.

Data Retention: QuickKey retains guest communication data for the duration of your subscription and for a reasonable period thereafter as required by law or our data retention policy. You may request deletion of guest data in accordance with applicable privacy laws.

7. AI Agent Terms

The QuickKey AI voice agent and AI-powered messaging features are provided to assist with hotel guest communications. By enabling AI features, you acknowledge and agree to the following:

AI Limitations: While our AI agent is designed to understand and respond naturally to guest requests, it may not always perfectly interpret complex, ambiguous, or highly specialized requests. QuickKey does not guarantee that the AI agent will handle all situations flawlessly.

Human Oversight: You are responsible for monitoring AI agent interactions and ensuring that escalations to human staff occur when appropriate. QuickKey recommends maintaining human oversight of all AI-handled communications.

Call Recording: AI phone agent calls may be recorded for quality assurance, training, and compliance purposes. You are responsible for ensuring that guests are informed of any call recording in accordance with applicable wiretapping and recording laws in your jurisdiction.

AI Accuracy: QuickKey continuously improves its AI models but does not warrant that AI responses will always be accurate, complete, or appropriate. You agree to implement reasonable review processes for AI-generated communications.

8. Intellectual Property

The Services, including all software, algorithms, AI models, interfaces, designs, text, graphics, logos, and other content, are owned by QuickKey and protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Services.

License Grant: Subject to your compliance with these Terms and payment of applicable fees, QuickKey grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal hotel operations purposes.

Your Content: You retain ownership of all data, content, and information you submit to the platform ("Your Content"). By submitting Your Content, you grant QuickKey a limited license to process and use Your Content solely to provide the Services.

Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by QuickKey without restriction or compensation to you.

9. Privacy and Data Protection

QuickKey's collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

For hotels operating in the European Economic Area (EEA), QuickKey acts as a data processor under the GDPR. We will enter into a Data Processing Agreement (DPA) upon request. Please contact us at [email protected] to request a DPA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKKEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

QUICKKEY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO QUICKKEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless QuickKey and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your failure to obtain proper guest consent for communications; or (e) any claim by a third party arising from your use of the Services.

12. Termination

Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

Termination by QuickKey: QuickKey may suspend or terminate your account immediately if: (a) you breach these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; or (d) we determine that your use poses a risk to the platform, other users, or third parties.

Effect of Termination: Upon termination, your access to the Services will cease. You may request a copy of your data within 30 days of termination. After this period, QuickKey may delete your data in accordance with our data retention policy.

13. Modifications to Terms

QuickKey reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, sending an email notification to registered users. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Miami, Florida, or via videoconference.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
